What is the opportunity?:

As Legal Counsel you will be a stellar, highly-motivated self-starter excited to support and grow with our fast-paced Legal Team here at Omnissa. The Omnissa Legal Team is a very close-knit group of colleagues who each wear different-colored hats and work well both independently and collaboratively as a group. key legal infrastructure roles including the (i) development, maintenance, and continuous improvement of the company's legal templates and playbooks, and (ii) the use of technology to accelerate the workflow of lawyers on the team. This role is critical to ensuring consistency, compliance, and efficiency in our legal operations. The ideal candidate will have a strong legal background with a focus on contracts, governance, and process optimization.

This role reports to our Deputy General Counsel - Global Commercial Lead. The Omnissa Legal Team values curiosity, exploration, and continuous learning. Primary responsibilities include:

  • Template Management:
    • Draft and update standard legal templates (e.g., software and SaaS agreements, professional services agreements, SOWs, vendor agreements, NDAs).
    • Ensure templates reflect current legal standards, company policies, and business needs.
    • Maintain a central repository of templates and version control.
  • Playbook Development:
    • Continuously improve legal playbooks to guide business stakeholders and junior legal team members.
    • Collaborate with subject matter experts to ensure playbooks are comprehensive and user-friendly.
    • Train internal teams on playbook usage and updates.
  • Cross-Functional Collaboration:
    • Work closely with Legal, Sales, Procurement, and other departments to gather input and align templates with operational requirements.
    • Act as the point of contact for legal documentation questions and improvements.
  • Compliance & Risk Management:
    • Monitor legal and regulatory changes that may affect standard documentation.
    • Ensure templates are compliant with applicable laws and industry standards.
  • Process and Tool Optimization:
    • Identify opportunities to streamline document-related workflows.
    • Support automation and integration of templates within contract lifecycle management (CLM) systems or other tools.
    • Identify and implement use of AI to accelerate legal reviews.

What will you bring to Omnissa?

  • Juris Doctor (JD) degree from an accredited law school and active license to practice law in any U.S. jurisdiction.
  • Minimum 8 years of experience in a corporate legal department or law firm, with a focus on contracts and legal operations.
  • Experience with CLM tools and legal tech platforms is a plus.
  • Excellent drafting, editing, and legal research skills with the ability to communicate complex legal and commercial concepts clearly and concisely to non-legal stakeholders.
