General Purpose

The Associate Counsel is responsible for providing comprehensive legal support and guidance across various critical areas. This includes managing contracts, ensuring regulatory compliance, overseeing litigation matters, and facilitating transactional activities, particularly those related to acquisitions. This role is pivotal in mitigating legal risks, supporting organizational strategy, and contributing to the overall legal integrity and success of the enterprise.

Essential Duties

  • Legal Matter Management: Direct management of a diverse portfolio of legal and administrative matters, including pre-litigation risk mitigation, to provide sound legal opinions, support company legal strategy, and reduce overall costs.
  • Compliance & Risk Oversight: Ensuring legal and administrative compliance across various entities, assisting with enterprise risk management and proactive identification of potential legal exposures.
  • Acquisition & Transactional Support: Providing robust legal support for new acquisitions and post-closing activities, encompassing legal due diligence, document drafting and revision, and coordination with external parties (e.g., sellers, landlords, lenders) to finalize escrow and closing documents.
  • Litigation & Claims Coordination: Reviewing complaints, summons, and subpoenas; coordinating with the risk management team for insurance reporting; and directly engaging outside counsel for matters not covered by insurance.
  • External Counsel Collaboration: Acting as a key liaison with external counsel on ongoing legal, administrative, and compliance matters, ensuring continuous communication and transparency with designated personnel at each healthcare facility.
  • Defense Strategy & Mitigation: Collaborating with the Risk Manager and external counsel to develop effective strategies for defending materialized legal matters and mitigating potential future losses.
  • Legal Research & Compliance: Conducting thorough research on relevant laws, statutes, healthcare regulations, and current case law, staying up-to-date on industry-specific legal developments to ensure corporate compliance.
  • Corporate Governance Support: Assisting with corporate compliance initiatives, including managing yearly minutes for all entities, Statements of Information (SOIs), Fictitious Business Name (FBN) renewals, corporate resolutions, and other essential corporate document clean-up.
  • Legal & Administrative Support: Providing general legal counsel on contracts, collections, and other transactional matters as needed.

Education and/or Experience

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active membership in good standing with a State Bar.
  • Proven experience in general legal counsel, with a strong background in contracts, regulatory matters, and litigation management.
  • Experience with acquisitions and transactional legal support is highly desirable.
  • Specific experience within the healthcare industry is strongly preferred.
  • Excellent legal research, analytical, and problem-solving skills.
  • Strong verbal and written communication abilities, with a capacity to distill complex legal issues into clear, actionable advice.
  • Highly organized, detail-oriented, and capable of managing multiple priorities in a fast-paced environment.
  • Proficiency in legal matter management systems and standard office software.

Physical Demands

This role primarily involves sedentary work in an office environment, utilizing a computer for extended periods. Occasional standing, walking, and light lifting (up to 10 lbs.) may be required. Essential functions include clear verbal communication, visual acuity for reviewing documents and computer screens, and the ability to travel occasionally for business needs if necessary.
